The Court of Chancery concluded that a Compensation Committee of the Board “exceeded their authority” under a stock option plan in awarding shares to inside directors/officers in granting judgment on the pleadings for plaintiffs on behalf of nominal defendant Computer Associates.

Recovery of 4.5 million shares of Computer Associates International common stock from certain senior executives for the benefit of Computer Associates, valued at in excess of $225 million.
